1. Overview of Services
ZevSEO provides cloud-based Search Engine Optimization (SEO) monitoring software, including automated daily keyword rank tracking, project-isolated timezone scheduling, technical site health auditing, and 30-day macro email digests (the "Services").
2. Account Registration & Responsibilities
- You must provide accurate, complete information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You must notify us immediately at [email protected] if you suspect any unauthorized access to your account.
3. Subscriptions, Payments & Merchant of Record
All order processing, billing, tax collection, and customer invoicing for ZevSEO subscriptions are conducted by our Merchant of Record, Lemon Squeezy.
- Recurring Billing: Paid subscriptions automatically renew on a recurring monthly or annual basis depending on your chosen plan. You authorize Lemon Squeezy to charge your designated payment method for each renewal period.
- Plan Changes: Upgrades and downgrades take effect immediately, with prorated credit adjustments calculated automatically by the Lemon Squeezy billing portal.
- Cancellation: You may cancel your subscription at any time via your in-app workspace billing settings. Upon cancellation, your account remains active until the end of your prepaid billing cycle.
- Taxes: Lemon Squeezy is responsible for the calculation, collection, and remittance of applicable sales tax, VAT, and GST based on your location.
4. Data Accuracy & Third-Party Search Engines
ZevSEO queries publicly available search engine results pages (SERPs) using residential proxy infrastructure and localized parameters (gl:hl). While we engineer our crawler network for high consistency and 02:00 AM local timezone baselines, you acknowledge and agree that:
- Google, Bing, ChatGPT, and other tracked engines continually alter their algorithms, layout features, and geo-personalization clusters.
- ZevSEO provides analytical observations and tracking estimates. We do not guarantee specific ranking positions, organic click counts, or revenue outcomes.
- Search engine results obtained via our platform are provided "as-is" for informational and analytical purposes.
5. Acceptable Use Policy
You agree not to misuse the Services. Prohibited activities include, but are not limited to:
- Attempting to probe, scan, or reverse-engineer our internal crawl workers, proxy infrastructure, or API endpoints.
- Using automated scripts to exceed defined rate limits, bypass subscription keyword quotas, or trigger denial-of-service conditions.
- Reselling or white-labeling our reports without an authorized Agency tier subscription.
- Submitting domains or keywords associated with malware distribution, fraudulent phishing campaigns, or illegal operations.
6. Intellectual Property
All software code, visual designs, brand assets, logos, and documentation related to ZevSEO are the exclusive property of ZevSEO and its licensors. You retain full ownership of all proprietary data, domains, and keyword lists you input into the system.
7. Termination
We reserve the right to suspend or terminate your access to the Services immediately, with or without notice, in the event of any material breach of these Terms or fraudulent payment activity. In such circumstances, unused portions of subscription fees will not be refunded.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall ZevSEO, its founders, directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, organic search rankings, goodwill, or business interruption, arising from or related to your use of the Services.
Our aggregate liability for any and all claims arising out of these Terms shall not exceed the total amount paid by you to ZevSEO during the three (3) months immediately preceding the claim.
9. Modifications to Terms
We may update these Terms periodically to reflect changes in our software, legal requirements, or payment processors. If we make material modifications, we will notify you via email or through an in-app notice prior to the changes taking effect. Continued use of the platform constitutes acceptance of the revised Terms.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through good-faith mutual consultation before seeking binding arbitration or court remedies.
